Since the name of the company appears on the Memorandum of Association and Articles of Association of the Company; provisions related to alteration of Memorandum and Articles of Association becomes applicable.

Board Meeting Roc Filing General Meeting Run Notice New Certificate

Convene board meeting discuss following matters.

  • To get the Director's approval for change of Name Clause.
  • Fix date, time, and place for holding Extra-ordinary General meeting (EGM) to get the approval of members by way of Special Resolution, for change of Name clause of Memorandum and alteration of Articles of Association.
  • To approve the notice of EGM along with an Explanatory Statement to be attached to the notice of the General Meeting.
  • Approving the Director or Company Secretary for issuing Notice of the Extra-ordinary General meeting (EGM).
  • To Authorize the Directors of Company to make Application with ROC for Name approval and to prepare a new set of amended Memorandum and Articles of Association of the Company.
  • Prepare minutes of such a Board Meeting.

Form MGT-14 for filling special resolution with following attachments.

  • Altered Articles of Association
  • Altered Memorandum of Association
  • Notice of General Meeting
  • Copy of Special Resolution

Form INC-24 for applying Central Government for change of name with following attachments.

  • Notice of General Meeting
  • Copy of Special Resolution
  • Minutes of EOGM

Convene Extra-Ordinary General Meeting of the members of the Company at place & time mentioned in Notice to transact following businesses.

  • Change the Name of the Company, subject to the approval of Central Government.
  • Alteration of the Name Clause of the Memorandum of Association of the Company.
  • Alteration in Articles of Association of the Company.

File web based Form RUN for approval & reservation of name from ROC along with following attachments.

  • Copy of board resolution.
  • No Objection Certificate of Owner of Trade Mark or the applicant of such application if the proposed name is similar to or based on a registered Trade Mark.

After filing RUN, ROC may grant certificate reserving the name stated in the RUN application.

Issue Notice of the Extra-ordinary General meeting (EOGM) to all Members, Directors, the Auditors and to all other persons entitled to such notice.

On approval of Form INC-24 ROC issues new Certificate of Incorporation containing new name.
